If you fail to file your Annual Return, your corporation can be struck off the registry — meaning it is no longer in good standing, cannot enter contracts, and may be dissolved by the government. A struck-off corporation can usually be revived by filing all outstanding returns and paying applicable fees. AMQ Legals can handle both the outstanding returns and the revival filing.

Yes. Most provinces allow a dissolved or struck-off corporation to be revived by filing a revival application along with all outstanding Annual Returns and applicable fees. Once revived, the corporation is restored to active status as if it had never been dissolved. AMQ Legals handles the entire revival process, including identifying any outstanding filings that must be resolved first.

If you stop operating but don’t formally dissolve your corporation, you are still legally required to file Annual Returns and maintain your registered address — incurring ongoing fees and obligations. Formal dissolution ends all ongoing requirements. It’s strongly advisable to dissolve any corporation you no longer need rather than leaving it inactive.

A Notice of Change must be filed with the government registry within 15 days of any director change — addition, removal, or address update. In Ontario, this is filed through the Ontario Business Registry. AMQ Legals prepares and files the Notice of Change on your behalf and delivers confirmation to your email.

A continuance allows your corporation to move from one jurisdiction to another — for example, from Ontario to federal — without dissolving and re-incorporating. It preserves your corporate history, name, and registration number. You may need a continuance if you want to operate nationally under a single federal registration, or if your business activities expand beyond your original province.

A Master Business Licence (MBL) in Ontario is valid for 5 years from the date of registration or last renewal. If you allow it to lapse, your business name registration expires and you may lose the exclusive right to that name. Your banking and business relationships may also be affected.
