Registration Guide

Everything You Need to Know

What is a Non-Profit Corporation?

A non-profit corporation is a legal entity formed to pursue a mission or social goal rather than to generate profit. These organizations focus on community development, social welfare, arts, education, sports, recreation, or other non-commercial purposes.

Unlike for-profit corporations, non-profits do not issue shares or distribute profits to members. Any surplus funds are reinvested to further the organization’s mission. They can still pay employees, enter contracts, and own property — they simply don’t exist to enrich shareholders.

Incorporating as a non-profit provides legal personhood, limited liability protection for directors and members, eligibility for government grants, and access to charitable tax status (if applicable).

Who Needs to Register?

Any organization intending to operate formally in Canada as a non-profit — including charities, community clubs, sports associations, advocacy groups, and religious organizations — should incorporate to gain legal recognition, liability protection, and access to funding opportunities.

Registration Guide

Choose a Unique Organization Name

Your name must be distinctive and not conflict with existing registrations. A NUANS name search is included in all AMQ Legals packages. We’ll guide you if issues arise.

Identify Directors & Members

Non-profit corporations require a minimum of 3 directors. You’ll need to provide names and contact details for each. Directors must be at least 18 years old and legally capable.

Define Your Purpose Clause

A clear statement of your organization’s purpose is required in the articles. This defines your mission and the activities your non-profit is authorized to carry out.

Provide a Registered Office Address

A valid registered address in the province of incorporation is required. AMQ Legals offers address and mail-forwarding services if needed.

File Initial Return (within 60 days)

After incorporation, newly registered non-profits must submit their Initial Return within 60 days. AMQ Legals can handle this filing on your behalf to keep you compliant.

Common Questions

Frequently Asked Questions
How fast can I incorporate a non-profit?

AMQ Legals offers same-day non-profit incorporation. With our Express 2-Hour Service, your digital Certificate of Incorporation and Articles are delivered to your email within 2 business hours of submission. Official hard copies are mailed shortly after.

Non-profit corporations and co-operatives require a minimum of three directors. Directors must be adults (18+), legally capable, and in most provinces must include at least some Canadian residents depending on the jurisdiction.

Yes. Non-profit corporations can hire staff and pay reasonable salaries. The key distinction is that surplus funds must be reinvested into the organization’s mission rather than distributed to members or directors as profit.

What's the difference between a non-profit and a charity?

A non-profit is incorporated under provincial or federal law and operates without distributing profit to members. A registered charity is a non-profit that has additionally been approved by the CRA to issue tax receipts for donations. Not all non-profits are charities — charity status requires a separate application to the CRA.

A federal non-profit corporation can operate across all of Canada under a single registration. A provincial non-profit is registered in one province and may need to register extra-provincially to operate elsewhere. The best choice depends on your scope and activities. AMQ Legals can help you decide.

AMQ Legals offers ongoing post-incorporation support including document preparation (bylaws, resolutions, minute books), annual return filings, director or address changes, and general compliance guidance so your organization stays in good standing.
